INVEST.IN.TEK GmbH – Terms and Conditions (Sam’s AI Poster)

These Terms and Conditions (“Terms”) govern your access to and use of Sam’s AI Poster (the “Service”). The Service is operated by INVEST.IN.TEK GmbH (“INVEST.IN.TEK”, “we”, “us”, “our”).

If you do not agree to these Terms, do not use the Service.

1) Contracting party and legal information

2) Definitions

  • Customer / you: the individual or entity using the Service.
  • Consumer: a natural person acting for purposes outside their trade, business, craft or profession (where applicable under EU consumer law).
  • Customer Content: any text, prompts, links, files, documents, configuration, channel identifiers, credentials, and other inputs you provide or connect to the Service.
  • Output: content generated by AI features based on Customer Content.
  • Third-Party Services: services not operated by us (e.g., Telegram and AI/LLM providers).

3) Acceptance; authority

By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

4) Eligibility; accounts; security

You must be at least 18 years old and legally capable of entering a binding contract.

You are responsible for:

  • maintaining the confidentiality of login credentials, API keys, and channel credentials;
  • all activity under your account; and
  • promptly notifying us of suspected unauthorized access.

5) The Service; global availability

  • The Service enables you to create, schedule, and publish content to connected channels based on Customer Content and settings you choose.
  • The Service is offered globally. You are responsible for ensuring that your use complies with applicable laws where you operate, publish, or target audiences.

6) Customer Content; permissions; responsibility

You retain ownership of Customer Content. You represent and warrant that:

  • you have all rights and permissions to provide Customer Content to the Service and to publish resulting Outputs;
  • your Customer Content and use of the Service do not violate law or third-party rights (including IP, confidentiality, privacy, publicity);
  • you have an appropriate lawful basis to process any personal data you include.

You are solely responsible for Customer Content, connected sources, and publication decisions.

7) License to operate the Service

You grant INVEST.IN.TEK a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, process, and otherwise use Customer Content only as necessary to provide, secure, maintain, and improve the Service and to comply with legal obligations.

8) AI Outputs; no reliance; human review

AI Outputs may be inaccurate, incomplete, misleading, or inappropriate. You are responsible for reviewing Outputs before publishing and for ensuring compliance with:

  • applicable laws,
  • platform rules, and
  • your own policies and obligations.

We do not provide legal, medical, financial, or other professional advice via Outputs.

9) Acceptable use

You must not use the Service to:

  • generate, publish, or distribute unlawful content;
  • infringe third-party rights or misuse personal data;
  • send spam, scams, deceptive content, or malware;
  • attempt unauthorized access, circumvent limits, or interfere with service integrity;
  • misrepresent identity or impersonate others; or
  • use the Service in a manner that would reasonably expose us or other users to legal or security risk.

We may remove content, restrict features, or suspend accounts for suspected violations.

10) Integrations; channels; webhooks

If you connect Third-Party Services (e.g., Telegram), you are responsible for:

  • having valid permissions and complying with those third-party terms;
  • configuring channels, bots, and webhooks correctly; and
  • any data you transmit to or from endpoints you control.

We are not responsible for downtime, policy changes, or actions taken by Third-Party Services.

11) API keys and LLM providers

You may use the Service with:

  • Your own API keys for AI/LLM providers; and/or
  • Platform-managed keys if we offer them for your plan.

Your keys: You are responsible for the scope, permissions, usage, spend, and compliance of any keys you provide.

Platform-managed keys: If we provide keys, you remain responsible for the legality of your prompts, Customer Content, and Outputs, and for ensuring you have the right to send the relevant data for processing.

12) Data protection; roles; international transfers

Our Privacy Policy describes how we process personal data and is incorporated into these Terms. Business users can review the DPA for processor terms.

Roles (typical):

  • For account administration, billing, security, and support, we act as controller.
  • For Customer Content you upload/configure and process via the Service, we typically act as processor on your instructions (business users: see DPA).

AI processing and transfers: When AI features are enabled, necessary prompts/excerpts may be sent to AI/LLM providers. These providers may process data outside the EU/EEA depending on provider/configuration. Where required, we use appropriate safeguards (e.g., EU Standard Contractual Clauses). If you use your own API keys, you choose the provider and settings; with platform-managed keys, we route to supported providers listed in the Service.

Analytics: We use Google Analytics (GA4) via analytics.google.com to measure website and product usage. Provider: Google Ireland Limited (EU) and Google LLC (USA). Legal basis: your consent under GDPR Art. 6(1)(a); analytics is blocked until you opt in via the cookie banner/settings and can be withdrawn at any time. Data points include IP handling, device/browser info, pages visited, referrers, and approximate location. GA4 uses first-party cookies/identifiers with retention managed in Google Analytics. Data may be processed in the USA under EU Standard Contractual Clauses. Opt-out: use the on-site cookie settings or Google’s opt-out options (e.g., https://tools.google.com/dlpage/gaoptout).

13) Plans, billing, taxes, changes

Pricing, plan limits, and included features are displayed at purchase/checkout.

Unless otherwise stated:

  • subscriptions renew automatically until cancelled;
  • fees are billed in advance for each billing period; and
  • taxes may apply depending on your location and status.

We may change pricing or plan features prospectively with reasonable notice where required by law.

14) Cancellation; refunds

You can cancel at any time. Cancellation generally takes effect at the end of the current billing period.

Fees are generally non-refundable except where required by mandatory law or where a specific refund policy is presented at checkout.

15) EU/EEA consumer right of withdrawal

Consumers in the EU/EEA have a 14-day withdrawal right for distance contracts. To exercise, email support@samsaiposter.com with a clear statement of withdrawal. If you request that we begin providing the Service during the withdrawal period, you may owe a proportionate amount for services provided until withdrawal (where applicable by law).

16) Availability; maintenance; changes to the Service

We aim for high availability but do not guarantee uninterrupted service. The Service may change over time, including additions, removals, or modifications of features. We may suspend or limit access for security, legal compliance, or operational reasons.

17) Intellectual property

We and our licensors own all rights in the Service, software, and documentation, excluding Customer Content. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

18) Confidentiality (business users)

If you are using the Service as a business, you must keep any non-public information about the Service (including security features, rate limits, and non-public documentation) confidential.

19) Disclaimer

To the maximum extent permitted by law, the Service and Outputs are provided “as is” and “as available”. We do not guarantee that Outputs are accurate, complete, non-infringing, or fit for a particular purpose.

20) Limitation of liability

Nothing in these Terms limits or excludes liability where such limitation is prohibited by applicable law, including liability for intent, gross negligence, or for injury to life, body, or health.

Subject to the above and to the extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data; and
  • our aggregate liability for claims relating to the Service is limited to the fees paid by you for the Service in the 12 months preceding the event giving rise to the claim.

21) Indemnity (business users)

If you use the Service on behalf of a business, you will defend and indemnify INVEST.IN.TEK against third-party claims arising from your Customer Content, Outputs and publications, channels and integrations, or breach of these Terms or applicable law.

22) Termination; data export/deletion

You may stop using the Service at any time. We may suspend or terminate access for breach, legal requirements, or risk of harm.

  • Customer Content: retained while the account is active; deleted within 30 days after account termination unless you delete earlier.
  • Outputs: retained with the account; deleted within 30 days after account termination unless you delete earlier.
  • Security logs: retained 90 days.
  • Backups: 35 days rolling retention.
  • Billing records and invoices are retained for 8 years (or longer if required in specific cases by applicable law).

23) Governing law; jurisdiction

These Terms are governed by the laws of Germany, excluding conflict-of-law rules. For business users, the exclusive place of jurisdiction is Hamburg, Germany. Consumer rights and mandatory jurisdiction rules in the country of residence remain unaffected.

24) Changes to these Terms

We may update these Terms to reflect changes in the Service or legal requirements. The “Last updated” date will be changed accordingly. Continued use after the effective date means you accept the updated Terms, subject to any mandatory notice/consent requirements.
